1. Who we are

The Platform is operated by Terarchy Networks, Inc. (“Terarchy”, “we”, “us”).

2. Eligibility and accounts

• You must provide accurate information when creating an account.
• You are responsible for maintaining the confidentiality of your login credentials.
• We may require KYC/verification before enabling certain actions (e.g., funding, payouts).

3. Roles on the Platform

• Suppliers submit invoices to be verified and listed for funding.
• Investors fund listed invoices and receive payouts when invoices settle.
• Admins review KYC, invoices, and operational actions.

4. Invoices, verification, and listing

• Invoice verification is an operational process; we may request additional documents.
• Not all invoices will be approved or listed.
• Risk scoring and pricing are estimates and may change as the product evolves.

5. Fees

The Platform may charge fees, including marketplace fees (typically paid by investors) and origination fees (typically deducted from supplier proceeds). Payment rails (e.g., Paystack) may apply processing fees.

Fee amounts shown in-product are computed by the backend and may be rounded.

6. Payments and payouts

• Investor funding may be completed via Paystack (NGN) or stablecoin (USDC), where enabled.
• Payouts may be made to bank accounts or wallet addresses depending on the method selected and availability.
• On-chain transactions are final once confirmed on the network; you are responsible for providing correct wallet details.

7. Risk disclosure

Investing involves risk. Invoice repayment depends on the buyer’s ability and willingness to pay. Returns are not guaranteed, and you may lose some or all of your investment.

8. Prohibited use

• Do not upload fraudulent or misleading invoices or documents.
• Do not attempt to interfere with the Platform, APIs, or security controls.
• Do not use the Platform in violation of applicable laws and regulations.

9. Disclaimers and limitation of liability

The Platform is provided on an “as is” and “as available” basis. To the maximum extent permitted by law, Terarchy disclaims warranties and limits liability for indirect, incidental, or consequential damages.

10. Changes to these Terms

We may update these Terms from time to time. Continued use of the Platform after updates constitutes acceptance.
